These General Terms of Service (the "Terms") govern your access to and use of X1 products and services, including the X1 POS, X1 Customer Display, X1 Pickup Display, X1 KDS, X1 QR Ordering, X1 Express Checkout Kiosk, X1 QMS, X1 HQ, APIs, MCP and agent services, associated web applications, software, and related services (collectively, the "Services") provided by X1 ("X1", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
By signing up for, accessing, or using the Services, you represent that you have read, understood, and agree to these Terms, and that you have the legal capacity and authority to enter into a binding agreement on behalf of yourself or the organization you represent. If you are using the Services on behalf of an organization, you agree to these Terms for that organization and confirm that you are authorized to do so.
2. Description of Services
X1 provides products and services for restaurant and retail operators to manage point-of-sale transactions, customer-facing displays, kitchen workflows, pickup screens, queue management, QR ordering, self-service checkout, menus, online ordering, inventory, reporting, staff, APIs, MCP and agent workflows, and related commerce operations. The specific features available to you depend on your subscription plan, purchased products, and configuration. We may add, modify, or discontinue features from time to time.
3. Accounts and Eligibility
To use the Services, you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify us of any unauthorized use. You must be at least 18 years old and capable of entering into a binding contract in your jurisdiction.
4. Subscription, Fees, and Payment
Some Services are offered on a paid subscription basis. Fees, billing frequency, and included features are described at the point of purchase or in a separate order form. You agree to pay all applicable fees when due. Except where required by law, fees are non-refundable. We may change fees upon reasonable advance notice; changes will not apply retroactively to the current billing period.
5. Acceptable Use
You agree not to, and will not permit any third party to:
- use the Services for any unlawful, fraudulent, or deceptive purpose;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems;
- reverse engineer, decompile, or attempt to derive source code, except where permitted by applicable law;
- use the Services to store or transmit viruses, malware, or other harmful code;
- resell, sublicense, or provide the Services to third parties except as expressly authorized;
- use the Services in violation of applicable laws, including data-protection, tax, consumer-protection, and anti-money-laundering laws.
6. Your Data
You retain all rights to the data you submit to the Services ("Your Data"). You grant X1 a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Data solely to provide, secure, and improve the Services. You are responsible for the accuracy, quality, and legality of Your Data and for obtaining any required consents, including from your customers and staff. Our handling of personal data is described in our Privacy Policy.
7. Intellectual Property
The Services, including all software, interfaces, documentation, and trademarks, are owned by X1 or its licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms, X1 grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription period. No rights are granted by implication.
8. Third-Party Services and Integrations
The Services may integrate with third-party products, such as payment processors, delivery platforms, and accounting tools. Your use of any third-party product is subject to that provider's terms and privacy practices. X1 is not responsible for third-party products and disclaims any liability arising from them.
9. Service Availability and Support
We aim to make the Services available on a 24/7 basis, but we do not guarantee uninterrupted availability. Planned maintenance, third-party outages, and events beyond our reasonable control may cause downtime. Support is provided through our published channels and, for paid plans, according to any applicable service-level terms.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. X1 DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, X1 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. X1'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO X1 FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless X1 and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, Your Data, or your violation of these Terms or applicable law.
13. Suspension and Termination
We may suspend or terminate your access to the Services if you materially breach these Terms, if required by law, or to protect the Services or other users. You may terminate your subscription in accordance with the plan you purchased. Upon termination, your right to use the Services ends and we may delete Your Data after a reasonable retention period, except where longer retention is required by law.
14. Governing Law and Disputes
These Terms are governed by the laws of [Hong Kong SAR], without regard to conflict-of-law principles. Any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of [Hong Kong SAR], unless an alternative dispute resolution mechanism is separately agreed.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by email before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
